Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Perigee LLC ("Perigee," "we," "us," or "our"). They apply to your use of our websites, our advisory services, and the Holler 24/7 service. By using our websites, signing up for a service, or engaging us, you accept these Terms. If you are acting for a company, you represent that you have authority to bind that company, and "you" means the company.
If you do not agree to these Terms, do not use our websites or services.
Who we are
Perigee LLC is an Oklahoma limited liability company providing fractional Chief Data Officer advisory services to mid-market companies. Holler 24/7 is a service of Perigee LLC that provides AI-powered phone answering, job booking, SMS follow-up, and CRM services for home services businesses. References to Perigee in these Terms include Holler 24/7.
Advisory services
Perigee's advisory engagements, including assessments, fractional CDO retainers, and program rescue work, are governed by a separate statement of work or engagement agreement signed by both parties. If a signed engagement agreement conflicts with these Terms, the engagement agreement controls for that engagement.
Advisory deliverables reflect professional judgment based on the information available to us. They are business advice, not legal, accounting, or investment advice, and final decisions and their outcomes remain yours.
The Holler 24/7 service
Holler 24/7 is a subscription service. When you sign up, whether through self-serve checkout or a payment link following a sales call, your subscription is governed by these Terms together with the plan, pricing, and usage allowances presented at checkout or in your order form.
- Provisioning. We set up your account, phone lines, AI agents, messaging, and CRM configuration. You agree to provide the business information needed to complete onboarding promptly and accurately.
- Usage allowances. Plans include the usage buckets selected at signup, such as inbound voice AI, SMS, and conversational AI. Usage beyond your selected allowances may be billed as overage or require a plan change, as stated at checkout.
- Service changes. We may improve or modify features of the service, provided the changes do not materially reduce the core functionality you purchased.
- Availability. We aim for continuous availability but do not guarantee the service will be uninterrupted or error-free. Telephony, carrier networks, and third-party platforms are outside our control.
Fees and billing
- Setup fees are due at signup and are non-refundable once onboarding work has begun.
- Subscription fees are billed monthly in advance and renew automatically each month until cancelled.
- Usage-based charges, where applicable to your plan, are billed as stated at checkout.
- Cancellation. You may cancel with notice as stated in your order; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
- Late payment. We may suspend the service for accounts more than 15 days past due after notice. Advisory engagement invoicing follows the terms of the applicable engagement agreement.
- Taxes. Fees exclude applicable taxes, which are your responsibility.
Your responsibilities
If you are a Holler 24/7 client, you agree to:
- Provide accurate business information and keep it current, since the AI agents answer calls and send messages based on it.
- Use the service only for lawful business communications with your own customers and prospects.
- Obtain and document all required consents before we send SMS or place calls to your customers on your behalf, including prior express consent required under the Telephone Consumer Protection Act (TCPA) and applicable state telemarketing laws.
- Honor opt-outs. Anyone who replies STOP or asks not to be contacted must not be messaged again through the service.
- Provide any call recording or AI disclosure notices to your customers that are required in the jurisdictions where you operate.
- Review bookings, messages, and CRM records for accuracy, and tell us promptly if the AI agent is handling something incorrectly.
You are responsible for the compliance of your own marketing lists and outreach campaigns. We may suspend messaging or calling activity that we reasonably believe violates law, carrier rules, or these Terms.
AI-generated communications
Read this section carefully
Holler 24/7 uses artificial intelligence to answer calls, hold conversations, book jobs, and send messages. AI systems can misunderstand a caller, produce inaccurate information, or miss a booking. We configure, test, and monitor the agents, but we do not guarantee that every call will be answered perfectly, that every job will be captured, or that AI-generated content will always be accurate. The service supplements your business operations; it does not replace your judgment or your obligation to serve your customers.
You should not rely on the service as your only channel for emergencies or time-critical matters, and you should tell your customers how to reach a human when they need one.
Acceptable use
You may not use our websites or services to:
- Violate any law or regulation, including telemarketing, spam, and privacy laws.
- Send unsolicited bulk messages or place calls to people who have not consented.
- Impersonate another person or business, or misrepresent who is calling or messaging.
- Transmit malware, attempt to gain unauthorized access to any system, or interfere with the operation of the service.
- Resell or white-label the service without a written agreement with us.
Intellectual property
Perigee owns the websites, the Holler 24/7 platform configurations, our methodologies, templates, prompts, and brand assets, including the Perigee and Holler 24/7 names and logos. We grant you a limited, non-exclusive, non-transferable right to use the service for your own business during your subscription.
You own your business data, customer records, and content you provide. You grant us a license to use that data to deliver and improve the service as described in our Privacy Policy. Ownership of advisory deliverables is addressed in the applicable engagement agreement.
Confidentiality
Each party agrees to protect the other's non-public business information received in connection with the services, to use it only for purposes of the relationship, and not to disclose it except to employees and vendors who need it and are bound to confidentiality, or where disclosure is required by law.
Third-party platforms
The services depend on third-party providers, including CRM and messaging platforms, telephony carriers, AI model providers, payment processors, and scheduling tools. Your use of those platforms may be subject to their own terms. We are not responsible for outages, changes, or acts of third-party providers, though we will work to restore service promptly when a provider issue affects you. Carrier rules, including A2P 10DLC registration requirements for business texting, may affect message delivery.
Disclaimer of warranties
Except as expressly stated in these Terms or a signed engagement agreement, the websites and services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that AI-generated output will be accurate or complete.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost business opportunities, even if advised of the possibility. Perigee's total liability arising out of or relating to the services will not exceed the amounts you paid us for the services giving rise to the claim in the 12 months before the event, or, for advisory engagements, the fees paid under the applicable engagement agreement.
Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to defend and indemnify Perigee against claims, damages, and costs, including reasonable attorneys' fees, arising from your customer lists and outreach campaigns, your failure to obtain required consents or provide required disclosures, your violation of law, or your breach of these Terms.
Term and termination
These Terms apply while you use our websites or services. Either party may terminate a Holler 24/7 subscription as described in Section 5. We may suspend or terminate access immediately for material breach, unlawful use, or non-payment, with notice where practicable. On termination we will, on request made within 30 days, export your business data in a standard format, after which we may delete it per our retention practices. Sections that by their nature should survive, including Sections 9, 10, 12, 13, 14, and 16, survive termination.
Governing law and disputes
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of laws rules. The parties will first attempt in good faith to resolve any dispute informally by written notice and discussion within 30 days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and each party consents to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes affecting active subscriptions, provide notice by email or through the service before the changes take effect. Continued use after the effective date means you accept the revised Terms.
